Terms of business

These terms cover use of this website and the general basis on which we work. Specific projects and support plans are governed by the written proposal or plan agreement for that piece of work, which takes precedence over anything here if the two differ.

Using this website

The content of this site is provided for general information. We take care to keep it accurate, particularly the published prices, but it does not constitute advice for your specific circumstances and it does not form a contract.

Prices shown on the site are current at the time of publication and exclude VAT unless stated otherwise. A quote for your business is the binding figure.

Quotes and projects

The free process review is genuinely free and carries no obligation. You keep the written plan and the fixed quote whether or not you proceed.

Project work is delivered against a written scope at a fixed price. Work outside that scope is quoted separately before it starts rather than added to an invoice afterwards.

Where a project is delivered in stages, each stage is invoiced on completion of that stage.

Support plans

Support plans run on a rolling monthly basis with 30 days’ notice from either side. There is no minimum term beyond that and no exit fee.

Billing is monthly in advance. The user count is reviewed each month so you are not paying for people who have left.

On-site visits are included as described on the plans page, within the stated coverage area, for reactive faults and routine work during business hours. Projects, office moves, installations and out-of-hours work are quoted separately.

If the plan ends, we hand over documentation, administrative credentials and a final backup within the notice period, at no charge and not conditional on any disputed invoice.

Ownership

Software, websites and content we build for you belong to you on payment. Your data is yours at all times. There is no licence that expires if you stop working with us.

We retain ownership of our own general-purpose tools, libraries and internal components, and grant you a perpetual licence to use them as part of what we have built for you.

We may describe work we have done for you, and link to a public website we built, unless you ask us not to. We will not publish figures about your business without written agreement.

Payment

Invoices are payable within 14 days unless agreed otherwise in writing. We may charge statutory interest and recovery costs on late payment under the Late Payment of Commercial Debts (Interest) Act 1998.

We do not suspend support for a business over a disputed invoice while the dispute is being discussed in good faith.

Liability

We do not exclude liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

Otherwise, our total liability in relation to any piece of work is limited to the fees paid for that work in the twelve months preceding the claim, and we are not liable for loss of profit, loss of business or indirect loss.

Where a fault originates with a third-party product or service, we will pursue it on your behalf, but we cannot accept liability for the acts of a supplier we do not control.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
